The Opportunity:

Vivid Seats’ Legal Department is looking for a Senior Counsel/ Associate General Counsel, Corporate & Securities to perform a broad range of legal work with a focus on supporting and overseeing a variety of corporate matters including: SEC and public company governance, securities and transactional matters, and working closely with the Finance department. This position requires a strong corporate, governance, securities and transactional background; an analytical and detail-oriented mindset, coupled with strong communication skills, the ability to spot and analyze legal issues, collaborate and present creative solutions, and advise management on risks.

The Vivid Seats Legal Department is a close-knit team of collaborative and business-savvy lawyers and legal professionals who work for a leader and innovator in the live event ticketing industry. You must be adaptable, collaborative, accustomed to working in a fast-paced environment, demonstrate exceptional judgment, apply practical legal advice tied to business strategies, and explain legal and business risks in plain English.

How your role contributes to the success of Vivid Seats – you will:

Draft the company’s securities filings (e.g., 10-Ks, 10-Qs, 8-Ks, Section 16 filings, and proxy statement) and securities-related legal documentation for M&A transactions, with finance and outside counsel support as needed.
Manage and support various M&A, corporate, and commercial transactions.
Work on a variety of other corporate and commercial legal issues and projects as needed.
Assist in further developing Vivid Seats’ corporate compliance program.
Review and advise on press and earnings releases, investor relations presentations, website disclosures, Regulation G and Regulation FD matters.
Assist with the preparation and organization of materials for Board of Directors meetings and the annual stockholder meeting, including resolutions, meeting minutes and presentations.
Support our statutory, regulatory, corporate governance, compliance, and industry-standard requirements and support functional department requests.
Assist in the formation and dissolution of entities; changes in entity structure.
Prepare and review minutes, resolutions, powers of attorney and corporate organizational documents, including certificates of incorporation and bylaws.
Provide day-to-day counseling and advice on corporate and securities law matters.
Support the General Counsel in advising the Board on corporate governance issues.
Partner closely with Finance on financial reporting, equity, and disclosure issues.
