About the Role

Reporting to the General Counsel, Topps is seeking an experienced and talented intellectual property, licensing, regulatory and commercial attorney to join our team. A successful candidate will be a leader and business partner for all of Topps' diverse divisions - sports & entertainment, confectionery and digital --- who can counsel all stakeholders across the global organization. We operate and have offices in the United States, the UK and throughout Europe, Latin America and India.

Responsibilities:

Support all business groups (sports & entertainment, confectionery, digital) on all commercial legal matters
Ongoing management and oversight of Topps' global IP portfolio, including trademarks, copyright and other IP
Anticipate and identify issues and risks, recommending potential solutions, and identifying trends relating to intellectual property, licensing and regulatory matters
Provide legal guidance for issues that arise in connection with prospective and ongoing commercial engagements, including IP consultation, contract interpretation and advising on contractual and IP implications
Conduct preliminary trademark (and occasionally patent) searches through various databases and collaborate with business and legal teams (and outside counsel) to prepare, file and prosecute trademark and other IP applications
Negotiate and draft complex commercial agreements, including license agreements (outbound and inbound), distribution, manufacturing and supply agreements, technology agreements, sponsorship and talent agreements and all other types of agreements related to Topps' multiple business divisions
Advise business stakeholders with respect to various types of IP-related contracts, including for example, confidentiality, consulting agreements, product development agreements, etc.
Manage intellectual property matters involving various issues including 1st amendment, fair use, parody and similar matters
Review marketing and product materials
Advise confectionery Quality and R&D teams on product, labeling and regulatory compliance for international, federal, state and local requirements, including FSMA, CPSIA, health claims and FDA proposals.
Advise on development, execution, and compliance for promotions, including sweepstakes and contests, special offers, and use of influencers and other advertising (including television advertising); contact with the Children's Advertising Review Unit, establishing advertising review program to mitigate risks associated with child-directed marketing efforts
Draft privacy policies and terms and conditions for company websites and any sweepstakes or promotions
Assist in general and IP-related litigation issues
Provide IP-related advice and support for corporate transactions
Serve as liaison between Topps and outside counsel
Develop and implement policies and training required to educate employees on best practices for complying with applicable laws and managing business-related business risks
