About the Role
The Role
We have an exciting opportunity for an ambitious individual to join the Compliance & Ethics Team as a Corporate & Compliance Counsel. We are looking for a US-qualified Lawyer with experience working on corporate matters for Nasdaq or NYSE-listed companies and SEC filings. As Corporate & Compliance Counsel, you will report directly to the Chief Compliance & Ethics Officer.
Main Responsibilities
Carrying out SEC filings and supporting in the drafting of the 20-F and proxy statements
Managing SEC compliance and corporate compliance as part of the wider compliance team
Supporting to organize shareholder general meetings and maintaining corporate records
Liaising between finance and legal/compliance on SEC filings and drafting corporate documents
Advising on share and equity related matters with regard to M&A transactions
Advising on share and equity related matters with regard to the implementation and ongoing maintenance of employee share plans
Supervising FCPA and anti-bribery registries, conflicts/related-party transactions oversight and supporting the ethics & compliance programs
Managing day-to-day share dealings questions.
