About the Role

The Role 
The Sr. Corporate Counsel role will be responsible for providing legal support to CAA’s business groups, with a primary focus on M&A, joint ventures, investments, corporate secretarial matters and corporate governance. The Sr. Corporate Counsel must have a broad corporate and transactional experience and an entrepreneurial mindset with the ability to work independently and/or as a member of the Chief Legal Officer corporate team.

Responsibilities

Provide support for M&A and joint venture transactions, including working with members of the M&A and Finance team on deal structure and LOI terms, drafting and negotiating deal agreements, and actively managing deal process including reviewing and drafting corporate documents, LOIs, SPAs, buy-sell agreements, operating agreements, partnership agreements, acquisition agreements

Supporting various corporate groups  (e.g., Treasury, Finance and Accounting, Tax, etc.) on corporate law, mergers and acquisitions, and other transactional matters

Interact with global legal and business colleagues on multi-jurisdictional transactions and initiatives

Manage post-closing integration matters and operational issues

Work on multiple transactions concurrently

Supporting corporate secretarial matters, entity formations and corporate governance

Experience with SEC, FINRA filings

Other related tasks as assigned
