About the Role

ROLE OVERVIEW:

The SpringHill Company (TSHC) is looking for an attorney to join its Business & Legal Affairs team in Los Angeles, CA. The successful candidate will be responsible for reviewing, negotiating, and drafting a wide variety of agreements, including brand/sponsorship deals with athletes/celebrities, to support our brand consultancy team, Robot. In addition, the candidate may be asked to contribute in other key areas of TSHC’s business (e.g., brand partnerships, branded entertainment, marketing, etc.). This is an opportunity to be a part of a growing company.

The ideal candidate should be confident and comfortable with handling transactions without precedent and providing advice to internal teams on a variety of legal and business issues (e.g., intellectual property, advertising laws, rights of publicity, and privacy, etc.). This position is best suited for those who thrive in a start-up, fast paced environment and have an entrepreneurial spirit.

REPORTS TO:

VP, Business & Legal Affairs, Branded Entertainment

RESPONSIBILITIES:

Act as the key intermediary and main point of Business & Legal Affairs contact between The SpringHill Company's Talent Relations team and athlete/celebrity representation to negotiate all deal points for athlete/celebrity brand deals ranging from one-off activations to long-term sponsorship contracts.
Demonstrate extensive background on and insight into brand deals involving high profile athlete/celebrity.
Work with Robot, Talent Relations, and athlete/celebrity representative to negotiate and draft agreements based on the agreed upon terms on clients' behalf and maintain oversight as to status of contractual obligations.
Possess extensive knowledge of SAG/AFTRA and other union production intricacies, including contracting, estimating, tracking, billing, and working with third party signatories to facilitate entire process smoothly.
Work with TSHC's Production team and/or external production vendors to steward all third-party vendor agreements, appearance releases, location agreements and materials releases, and details surrounding production, ranging from experiential to film to still photography, and more.
Collaborate with the Robot team and TSHC Finance and Talent Relations teams to ensure all budget is closely tracked and meticulously maintained.
Conduct reviews of creative decks, footage, short form content, episodes, and films to advise on levels of risk related to copyright, trademark, defamation, invasion of privacy, violation of publicity rights and other potential legal claims.
Contribute toward improving deal parameters, deal memo templates, departmental process and procedures as well as contribute to creative problem solving on deals and projects by being responsive to alternative and new business models and technology advancements.
Establish and enforce processes, policies, and best practices to ensure the strategic, legal and financial guidelines in connection with rights acquisitions, music and audio issues, labor (e.g., SAG-AFTRA) and talent negotiations are followed.
